1. Overview

These Terms of Service (“Terms”) govern your access to and use of Vizboard (“Service”).

By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.


2. Service Description

Vizboard is a web-based platform that allows users to:

  1. Upload and analyze data (e.g., Excel files)
  2. Generate charts and visualizations
  3. Receive AI-generated insights
  4. Interact via a chat interface for data-related queries

The Service integrates third-party artificial intelligence technologies, including OpenAI and other providers, to deliver automated analysis and outputs.

Vizboard may update, modify, remove, or add features at any time without prior notice.


3. AI Disclaimer

Vizboard provides automated analysis and insights for informational purposes only. Vizboard does not guarantee accuracy, completeness, or business outcomes based on the analysis provided. Users are responsible for any decisions made based on Vizboard outputs.

AI-generated outputs may be incomplete, incorrect, or misleading.

Users agree not to rely on the Service as the sole basis for any financial, operational, legal, or strategic decision.


4. No Professional Advice

The Service does not provide financial, legal, medical, or professional advice. All outputs are informational only and should not be relied upon as a substitute for professional judgment.


5. Accounts

Users are responsible for:

  1. Maintaining the confidentiality of their account credentials
  2. All activities conducted under their account

Vizboard reserves the right to suspend or terminate accounts at its sole discretion.

Vizboard reserves the right to refuse service to anyone, at any time, for any reason or no reason, without liability.


6. Credits and Payments

The Service operates on a credit-based system.

  1. Credits do not expire unless otherwise stated
  2. Credits are consumed when using features of the Service
  3. Purchased packages may include bundled credits at a discounted rate
  4. Credits are non-refundable unless required by law

Vizboard reserves the right to modify pricing, credits, and subscription structures at any time.


7. Refund Policy

Except where required by law, all purchases are non-refundable.

If a technical error, system malfunction, or billing issue results in incorrect credit deduction or duplicate payment, Vizboard may, at its sole discretion, restore credits or issue a refund.

Subscription cancellations will apply to the next billing cycle and do not trigger refunds for previous payments.

Unused credits are non-refundable and have no cash value unless otherwise required by law.


8. Data Storage and Usage

User data may be stored to provide Service functionality, including dashboards, reports, and account management.

Uploaded files may be temporarily stored for processing and may be deleted automatically after a certain period.

User data is not used to train artificial intelligence models.

While Vizboard implements reasonable security measures, we do not guarantee that the Service will be secure or free from unauthorized access, data breaches, or cyber threats.

When an account is deleted, all associated data will be permanently deleted, subject to legal or operational retention requirements.


9. File Uploads and Retention

Uploaded files:

  1. May be temporarily stored for processing
  2. May be stored if included in saved reports
  3. May be deleted after a retention period

Vizboard does not guarantee permanent storage unless explicitly saved within the platform.

Users are responsible for maintaining backups of their data. Vizboard shall not be responsible for any data loss, corruption, or deletion.

Users represent and warrant that they have all necessary rights, permissions, and legal bases to upload, process, and share any data through the Service, including personal or third-party data.


10. Data Deletion

Users may request deletion of their account and associated data at any time.

Upon deletion:

  1. All identifiable user data will be removed
  2. Data recovery will not be possible


11. Third-Party Services

Vizboard integrates third-party services such as OpenAI to provide AI functionality.

Vizboard is not responsible for:

  1. Availability of third-party services
  2. Accuracy or performance of third-party outputs
  3. Changes in third-party APIs or policies


12. Public Sharing

Users may share reports via public links.

  1. Public links are accessible by anyone who has the link
  2. Users are solely responsible for any data shared via public links
  3. Users must ensure that they have the legal right to upload and share any data through the Service
  4. Vizboard is not responsible for any data, personal information, confidential information, or third-party data shared through public links


13. Export Features

Export functionality is available depending on the user’s subscription package (Starter, Plus, Team).

Vizboard does not guarantee export availability in all plans.


14. Acceptable Use

Users agree not to:

  1. Reverse engineer, scrape, or replicate the Service
  2. Use the Service to build competing products
  3. Abuse, overload, or exploit system resources
  4. Use the Service for illegal or unauthorized purposes

Vizboard reserves the right to limit usage, suspend accounts, or restrict access in cases of excessive usage, abuse, or system exploitation.


15. Competitor Restriction

Users may not use Vizboard, its outputs, or its data to:

  1. Develop competing products or services
  2. Train competing AI systems
  3. Recreate similar functionality or datasets
  4. Benchmark the Service for competitive purposes


16. Service Availability

Vizboard does not guarantee uninterrupted or error-free operation of the Service.

The Service may be unavailable due to:

  1. Maintenance
  2. Technical issues
  3. Third-party service outages
  4. System upgrades
  5. Force majeure events

Vizboard shall not be liable for any losses resulting from Service downtime.


17. Beta and Experimental Features

Some features of the Service may be in beta or experimental stages and may change, be removed, or produce inaccurate results.

Users acknowledge that beta features may not function as expected.


18. Intellectual Property

Users retain ownership of the data they upload to Vizboard.

However:

  1. Vizboard retains ownership of the platform, software, algorithms, models, dashboards, and system architecture
  2. AI-generated outputs may be used by users for internal business purposes
  3. Users may not resell, redistribute, or commercialize Vizboard outputs as a standalone product
  4. Vizboard does not guarantee that AI-generated outputs are unique, and similar or identical outputs may be generated for other users


19. Limitation of Liability

To the maximum extent permitted by law:

Vizboard shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

  1. Use or inability to use the Service
  2. Errors or inaccuracies in outputs
  3. Data loss
  4. Business decisions made based on the Service
  5. Service interruptions
  6. Third-party service failures

Users acknowledge that:

  1. The Service is provided “as is” and “as available”
  2. Use of the Service is at their own risk


20. No Warranty

Vizboard makes no warranties of any kind, whether express or implied, including but not limited to:

  1. Fitness for a particular purpose
  2. Merchantability
  3. Non-infringement
  4. Accuracy or reliability of outputs
  5. Continuous availability of the Service


21. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration.

  1. Arbitration shall be conducted under applicable arbitration rules
  2. The seat of arbitration shall be Delaware, United States
  3. Arbitration shall be conducted on an individual basis only
  4. Class actions, collective actions, or representative proceedings are strictly prohibited

You waive any right to participate in a class action lawsuit or class-wide arbitration.


22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.


23. Changes to Terms

Vizboard reserves the right to modify these Terms at any time.

Continued use of the Service after changes constitutes acceptance of the updated Terms.

26. Indemnification

  1. Your use or misuse of the Service
  2. Your violation of these Terms
  3. Your violation of any applicable law or regulation
  4. Any data, content, or information you upload, process, or share through the Service
  5. Any claims by third parties related to your data or use of the Service
